My name is Michael Bissonnette, and over the last three decades I founded, funded and built four multi-million dollar corporations from the ground up — the last two I took public on the NASDAQ.
Each required investor financing to get off the ground, and additional funds to accelerate growth. All in all, I’ve raised over $50 million for my companies through 21 successful rounds of funding. Much of it came in the last five years, in some of the toughest financial times ever — and I did it without banks, angels or venture capital. The vast majority of my investors invested $25,000 or less.
The funding method I have used is a rare combination of a particular type of Private Placement coupled with Direct Public Offerings. This unique methodology has allowed me and my clients to bypass Investment Bankers, Broker Dealers and Venture Capitalists, and sell stock directly to small individual investors.
Direct Public Offerings capitalizes on three specific state and SEC exemptions that have opened up an entirely new way of raising capital. These new mandates now enable entrepreneurs to advertise and sell stock directly to the public at large. In addition, the SEC now allows the use of the Internet and all social media channels as legal marketing avenues for reaching out and selling stock offerings to potential investors.
With the current economic conditions, venture capital investment has plunged, angel funding is at its lowest in a decade, and banks are reluctant to lend to entrepreneurial businesses. This means that today, Private Placements and Direct Public Offerings may not just be the best way of funding most companies — it may be the only way.
My biggest successes were the last two companies I founded:
Voice Powered Technology and
AeroGrow International. Each was funded using a combination of Private Placements followed by either a public offering or an acquisition.
Voice Powered Technology Inc (VPTI ) was initially funded from three Investor Direct Offerings totaling $4.5 Million. These funds gave me the ability to build VPT from zero to $24 million in sales in just 18 months. VPTI was later acquired.
With AeroGrow, I raised money through a Private Placement followed by a Direct Public Offering which provided my company with over $5 million in equity capital. I hired the best management team and aggressively marketed my products both nationally and internationally. Aerogrow grew from zero to $87 million in cumulative sales in just three years.
These companies, along with two others I’ve founded, would never have gotten off the ground without using my unique funding methods.
